Terms and conditions of service

These terms apply to services ordered for a professional activity. This English version is provided for information; the French version is the reference.

1. Scope

These terms apply to website creation and maintenance services provided by Moussa Kerrouche EI (Kerro Labs). The signed quote, these terms and, where data is processed, the written data processing agreement form the contract. For a consumer or small business entitled to a withdrawal right, an appropriate contract is provided before the order.

2. Quotes and orders

Each service is described in a free quote, valid for 30 days. The order is confirmed on receipt of the quote signed “Bon pour accord” and payment of the 40% deposit.

3. Prices and payment

Prices are in euros, excluding taxes. TVA non applicable, art. 293 B du CGI (French small-business VAT exemption); for clients outside France, the tax treatment is confirmed in the quote. The 40% deposit is due on signature and deducted from the total price; the balance is due at launch. Each invoice states its payment deadline, at the latest 30 days after issue. Payment by bank transfer. No early-payment discount.

For professional clients, late-payment interest is due without a reminder from the day after the deadline, at three times the French statutory interest rate, together with a fixed recovery charge of €40.

4. Client obligations

The client provides the content (text, photos, logos) for which it holds the rights, and the necessary access, within the agreed time. Any delay on the client’s side postpones delivery accordingly.

5. Delivery and approval

The quote states the delivery schedule and what is needed to start; any change to the schedule is communicated to the client. A test version is made available to the client, who has 10 days to send comments. Without a reply, a reminder is sent; the version is considered approved 5 business days after this reminder. Approval does not remove the client’s remedies for a defective service. New requests outside the quote require an additional quote.

6. Ownership

The domain name is registered in the client’s name. The rights to the original work delivered are set out in the quote or an annex: rights granted, uses, media, territory and duration. The transfer takes effect after full payment. At the end of the service, the agreed access, files and exports are handed over to the client. Third-party components remain subject to their licences. Permission to show the project in the portfolio is requested separately.

7. Included support and maintenance

Support starts at launch and covers help with using the website and fixing defects in the delivered website. Essential: email support for 30 days after launch, reply within 2 business days. Support: email support for 3 months after launch, reply within 1 business day. Peace of Mind: priority support by email and phone for 12 months after launch, reply within 4 business hours. Support is available Monday to Friday, 9 am to 6 pm Paris time, excluding French public holidays. Response times refer to a first reply; an intervention schedule is given after diagnosis.

The Peace of Mind package includes 12 months of maintenance of the delivered website: A monthly technical check, fixes for defects in the delivered website, necessary security and compatibility updates, a backup before each intervention and help with restoring it. It also includes 30 minutes of content changes per month, not carried over, and a 20-minute review call each quarter. The Support package includes follow-up calls at 30 and 90 days and one hour of content changes over the three months.

Hosting, domain and third-party service costs are paid by the client. New pages, features, redesigns and work on changes made by a third party are not covered by the included maintenance and require an additional quote. Support and maintenance end at the end of the included period, with no automatic renewal. Applicable legal warranties are unaffected.

8. Liability

Moussa Kerrouche is bound by an obligation of means. Liability is limited to the amount of the service concerned, except where mandatory rules prohibit such a limit. Moussa Kerrouche is not liable for outages caused by hosting providers and third-party suppliers, without this releasing Kerro Labs from its own contractual obligations.

9. Personal data

For processing carried out on the client’s behalf, a written data processing agreement sets out the instructions, security, sub-processors, transfers, assistance and the return or deletion of data, before the service goes live.

10. Early termination

If the project is stopped before launch, a statement of the work completed and costs incurred is drawn up; it is invoiced up to the price in the quote, less the deposit paid.

11. Disputes

French law applies. In case of difficulty, please contact contact@kerrolabs.fr first so that an amicable solution can be found. Legal remedies remain available.
